These Terms & Conditions govern the access to, purchase of, and interaction with the artworks offered on madebyiva.com. They establish the rights and obligations of both the Buyer and the Seller, define the conditions under which Artworks are published, sold, delivered, authenticated, archived, and returned, and outline the rules relating to ownership, intellectual property, edition types, and usage limitations.

By accessing or purchasing any Artwork on this website, the Buyer acknowledges that they have read, understood, and agreed to be bound by these Terms & Conditions. These Terms apply to all transactions conducted through madebyiva.com and constitute the agreement between the Buyer and the Seller regarding the sale, delivery, and permitted use of the Artworks.

1. Definitions

Buyer refers to any individual purchasing any Artwork.

Artwork refers to any art piece that has been created and published by the Seller, Suzan Valois. 

Set of Artwork refers to a curated group of 1 to 16 Artworks published together.

Digital Copy refers to the specific digital Artwork file provided by the Seller.

Physical Copy refers to the unique printed version of the purchased Artwork.

Edition refers to the classification of how an Artwork is made available for purchase, including Open Editions and Limited Editions

Open Edition refers to an edition type that is made available for purchase with no quantity limit, allowing an unlimited number of copies to be sold.

Limited Edition refers to an edition type that is made available for purchase with a fixed, pre-defined quantity. 

Certificate of Authentication for Digital Copy refers to the document verifying the Artwork’s provenance, and providing the proof of authorship for the digital copy

Certificate of Authentication for Physical Copy refers to the document verifying the Artwork’s provenance, and providing the proof of authorship for the physical copy

Watermark refers to the ‘madebyiva’ element embedded into the Artwork as an intentional identifier and authentic marker

Mark of the Set refers to the visual identifier specifically designed for and applied to each particular Set of Artworks, distinguishing it from other Sets.

Edition Number refers to the unique numerical identifier assigned to each unit within a Limited Edition (e.g. 2-5, 3/6), indicating its position within the fixed edition quantity.

2. Publication of Set of Artworks

The Seller may publish Set of Artworks consisting of 1 to 16 Artworks. 

Each Artwork within a Set will include the following information on its product page;

  • Title of the Artwork

  • Medium: [e.g., digital, AI generated]

  • Source Software: [Digital Tools, Applications, or software programs used to create, generate, edit, or finalize the Artwork]

  • Edition: [Limited Edition / Open Edition]

  • Format and technical specifications of the digital file (e.g., resolution, dimensions, color profile, file type)

Archived Set of Artworks will remain visible for reference but can not be purchased.

3. Edition Types

3.1. Open Editions

  • Unlimited quantity.

  • Includes the watermark and mark of the Set.

3.2. Limited Editions

  • Fixed, pre‑defined quantity.

  • Includes the watermark, mark of the Set, and edition number.

  • Once sold out, no additional copies are produced.

4. Watermark, Mark of the Set, Edition Numbers

All identifiers as shown in the image below;

Their size, color, placement, and style may vary between Sets.

They may not be removed, altered, or obscured.

5. Payment Terms 

  • Payment is accepted through the methods listed at checkout.
  • Payment is considered complete once confirmed by the payment processor.
  • Prices are listed in the currency displayed on the website.
  • Applicable taxes (including VAT) are included or displayed at checkout. 
  • If payment fails or is reversed, the order is void.
  • The Seller is not responsible for delays caused by third‑party payment processors.

6. Delivery of Digital Artwork

Within 72 hours of purchase, the Buyer will receive an email containing a download link for the specific digital Artwork purchased.

Delivery is considered complete once the email is sent to the Buyer.

The Buyer is solely responsible for providing a valid and accessible email address at checkout. The Seller is not liable for failed delivery due to incorrect or inaccessible email accounts.

The download link remains active for 30 days, unless otherwise stated on the product page.

The Buyer is responsible for securely storing the downloaded file.

The Seller may provide re‑delivery of purchased digital files upon request if the request is justified, even if the original download link expires or becomes inaccessible. Identity verification may be required to protect the Buyer’s ownership.

7. Refund Policy for Digital Artworks

Digital Artworks are eligible for a 30‑day refund period, starting from the date the download link is sent.

After the 30‑day refund period ends, the digital Artwork becomes non‑refundable.

Refunds are issued to the original payment method unless otherwise agreed in writing.

8. Certificate of Authentication

All Artworks purchased through the website are subject to have a Certificate of Authentications. The records of the certifications can be requested for verification from the Seller.

8.1 Certificate of Authentication for Digital Artworks

After the 30‑day refund period has ended, the Buyer will receive the Certificate of Authentication for the digital Artwork.

Once the certificate is issued, the sale is considered final, and no refunds will be granted.

The certificate verifies the authenticity, edition type, edition number (if applicable), and Set identity of the digital Artwork.

8.2 Certificate of Authentication for Physical Artworks

The Certificate of Authentication for Digital Copy can be requested to exchanged for Certificate of authentication for Physical Copy.

9. Right to Print a Unique Physical Copy

After receiving the digital Artwork, the Buyer has the right to print their own unique printed physical copy of the purchased Artwork.

The Buyer is responsible for arranging and managing any printing adjustments to preserve the Artwork’s quality (if necessary), including but not limited to:

  • Color correction

  • Margin or cropping adjustments

  • Format adaptation

  • Print‑specific optimization

Only one physical copy may be produced per purchased digital edition. No additional physical copies are allowed to be created for the same edition.

The physical copy corresponds exclusively to the digital file purchased by the Buyer and reflects the same edition type and edition number (if applicable).

10. Exchange of Certificate of Authentication

Once the physical copy has been produced and finalized by the Buyer, the Buyer may request an exchange of the Certificate of Authentication

To request the exchange, the Buyer must provide the Seller with images of the Physical Copy for verification and approval.

If the Seller approves the physical copy, the Certificate of Authentication for Digital Copy will be replaced with a Certificate of Authentication for Physical Copy.

Upon issuance of the Certificate of Authentication for Physical Copy:

  • The digital certificate becomes void

  • The physical certificate becomes the sole valid proof of authenticity for that edition

The Certificate of Authentication for Physical Copy will reference:

  • The same edition type

  • The same edition number (if applicable)

  • The same Set identity

  • Any unique identifiers related to the physical print

The exchange of certificates is final. Once the physical certificate is issued, the Buyer cannot revert back to the digital certificate.

 

11. Transfer of Ownership — Digital and Physical Copies

Upon receiving the Certificate of Authentication for the Digital Artwork, the Buyer becomes the owner of the specific digital copy of the Artwork purchased. Ownership applies only to that individual file.

The Buyer may:

  • Possess and store the digital file

  • Display it privately

  • Include it in a private collection

  • Gift, sell, or transfer the specific digital file

The Buyer does not receive any intellectual property rights, including but not limited to:

  • Copyright

  • Reproduction rights

  • Distribution rights

  • Commercial usage rights

  • Rights to create derivative works

  • NFT or tokenization rights

  • AI training or dataset rights

If the Buyer chooses to use their right to print option specified in Section-9 the same ownership rights that apply to the digital copy (private possession, private display, gifting, selling, or transferring the specific item) also apply to the physical copy after conversion is approved and completed.

Intellectual property rights remain exclusively with the Seller for both digital and physical versions.

12. Limitation of Liability

The Seller shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to the purchase, use, access, download, display, printing, or transfer of any Artwork.

The Seller is not responsible for:

  • Technical issues affecting email delivery, download links, servers, or website access

  • Variations in color, format, or appearance between digital and printed versions

  • Errors, delays, or damages caused by third‑party services

  • Loss, corruption, or deletion of files after delivery

  • The Buyer’s failure to provide accurate contact information

13.Governing Law & Jurisdiction

These Terms & Conditions are governed by the laws of France. Any disputes shall be resolved exclusively in the competent courts of France.
